1. Nature of Service

Boxless is a software platform that provides algorithmic pricing regulatory risk screening tools, statistical analysis, and informational reports. Boxless is not a law firm, accounting firm, or professional services firm. Boxless does not provide legal advice, compliance certification, or professional opinions.

All output from Boxless — including risk scores, regulatory exposure assessments, statistical test results, and PDF reports — is informational only and is intended to supplement, not replace, consultation with qualified antitrust counsel. Users are solely responsible for their own compliance decisions and should review all Boxless output with their legal team before taking action.

2. Risk Scores and Assessments

Risk scores are algorithmic estimates based on user-provided information and publicly available regulatory frameworks as of the assessment date. They do not constitute legal determinations, compliance certifications, or guarantees of regulatory status.

A low risk score does not mean your company is compliant with any specific law or regulation. A high risk score does not mean your company is violating any law. Statistical test results detect patterns consistent with published academic research and do not prove the presence or absence of anticompetitive conduct.

3. Statistical Analysis Limitations

The statistical tests provided by Boxless are implementations of peer-reviewed academic methods. These tests have known limitations including sensitivity to sample size, market definition, seasonal effects, data quality, and the scope of data provided. Statistical significance does not equal legal significance. Results should be interpreted by a qualified economist or antitrust counsel in the context of your specific market and business circumstances.

4. Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. BOXLESS DOES NOT GUARANTEE COMPLIANCE WITH ANY LAW OR REGULATION.

IN NO EVENT SHALL BOXLESS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO REGULATORY PENALTIES, FINES, INVESTIGATION COSTS, LITIGATION COSTS, OR ANY OTHER COSTS ARISING FROM RELIANCE ON BOXLESS OUTPUT. BOXLESS'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY THE CUSTOMER IN THE 12 MONTHS PRECEDING THE CLAIM.

5. Indemnification

You agree to indemnify, defend, and hold harmless Boxless and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from: (a) your use of Boxless output, (b) your compliance or non-compliance decisions, (c) your violation of any law or regulation, or (d) your breach of these Terms.

6. Data Handling

You retain ownership of all data you upload to Boxless, including pricing data, assessment responses, and company information. Boxless processes your data solely to provide the requested analysis services. We do not use customer data to train models, benchmark across customers, or share with any third party except as required to provide the service. 8. Discovery and Privilege Considerations

Boxless reports and analysis results may be discoverable in litigation or regulatory proceedings. Companies may wish to commission assessments through outside antitrust counsel so that results may be protected by attorney-client privilege and/or work product doctrine. Boxless recommends consulting with legal counsel about privilege protections before sharing reports broadly within your organization.

9. Independence

Boxless is independent of all pricing software vendors and has no business relationship with any company under regulatory investigation. Boxless does not sell pricing software, does not receive referral fees from pricing vendors, and has no financial interest in the outcome of any compliance assessment.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Alabama without regard to conflict of law principles. Any disputes arising from these Terms or your use of Boxless shall be resolved through binding arbitration administered by the American Arbitration Association in Birmingham, Alabama. You waive any right to participate in a class action lawsuit or class-wide arbitration.

11. Changes to Terms

We may update these Terms from time to time. We will notify registered users of material changes via email. Continued use of the service after changes constitutes acceptance of the updated Terms.
